Data and Material Transfer Agreements

The University of Nebraska–Lincoln (UNL) enters into Data Transfer and Use Agreements (DTUAs) and Material Transfer Agreements (MTAs) when data or tangible materials are shared between UNL and external parties. These agreements are binding contracts that define the terms and conditions of the transfer, including limitations on use, storage requirements, publication rights, intellectual property considerations, and privacy or confidentiality protections.


What Are DTUAs and MTAs?

DTUAs govern the transfer of data, typically for research purposes, from one party (the “Provider”) to another (the “Recipient”).

MTAs govern the transfer of tangible research materials (e.g., biological samples, chemical compounds, software, devices) and may also include associated data. MTAs are used across disciplines such as biology, chemistry, engineering, and computer science.


When Is an Agreement Needed?

Any time data or materials are being transferred between UNL and an external collaborator, a DTUA or MTA is likely required. These agreements help ensure that transfers align with university policies, protect intellectual property, and comply with applicable regulations.


Who Initiates the DTUA Process?

Principal Investigator (PI) must initiate the process by completing the appropriate intake form:

The intake forms collect key information about the project, the parties involved, and the nature of the transfer. The Office of Sponsored Programs (OSP) will review the submission and may consult with Research Compliance, Integrity, and Security (RCIS) to ensure all protocols are in place.


Review Timeline

The review and execution timeline depends on the complexity of the request and the responsiveness of the external party. OSP and RCIS review intake forms in the order received, but it may take 6–8 weeks, or longer, to fully execute an agreement.
